These Terms & Conditions (the “Terms”) govern your purchase and use of products and services from Temple Research Labs LLC (“Temple Research Labs,” “we,” “us,” or “our”). By creating an account, placing an order, or using our website https://templeresearchlabs.com/ or related services (collectively, the “Services”), you agree to be bound by these Terms and any policies referenced here (including our Privacy Policy and Shipping & Delivery Policy). If you do not agree, do not use the Services.

• Research Use Only. All products (the “Material”) are supplied solely for laboratory, research, or analytical purposes by qualified professionals. Material is not for human or animal consumption, clinical use, diagnostic use, or therapeutic use of any kind.
• FDA Status. Statements on our site have not been evaluated by the U.S. Food and Drug Administration. Material is not intended to diagnose, treat, cure, or prevent any disease.
• Not a Pharmacy. Temple Research Labs is not a compounding pharmacy or outsourcing facility under Sections 503A/503B of the Federal Food, Drug, and Cosmetic Act.

• Age Requirement. You must be at least 21 years of age to purchase.
• Competency. You represent you are trained and qualified to handle research chemicals safely and lawfully, and you will use appropriate facilities, gear, and protocols.
• Account Security. You are responsible for your account credentials and for all activity occurring under your account.

• Offer & Acceptance. Your order is an offer to buy. We may accept, reject, limit, or cancel any order at our sole discretion, including due to availability, suspected fraud, compliance risk, or pricing/description errors.
• No Resale Without Consent. Material is for your internal research only. You may not resell, repackage, relabel, export, or distribute Material to third parties without our prior written approval.
• Backorders. If an item is out of stock, we will notify you; orders may be delayed or canceled at our discretion.

• Prices. Prices are listed in U.S. dollars and may change without notice.
• Taxes & Fees. You are responsible for applicable sales/use taxes and any carrier surcharges or address-correction fees.
• Promotions. Coupon codes and promotions are subject to separate rules and may be modified or discontinued at any time.
• Errors. We reserve the right to correct typographical or system errors (pricing or otherwise), and to cancel/refund erroneous orders.

• Payment Due at Checkout. You authorize us to charge your selected payment method for the full order amount and applicable taxes/fees.
• Chargebacks. Initiating unwarranted chargebacks may result in account closure and collection action. We may share evidence with the processor to contest improper chargebacks.
• Verification. We may request additional information to verify identity, eligibility, and compliance before fulfilling any order.

• Cutoff. Orders received by 12 PM EST on business days typically ship the same day, however this is not guaranteed. Orders placed on weekends or holidays will ship the next business day.
• Title & Risk. Title and risk of loss pass to you once the shipment is handed to the carrier. Without the Delivery Guarantee, you assume all risk for lost, stolen, misdelivered, or damaged packages. Temple Research Labs is not liable under any circumstances for carrier-related delivery issues once the package is in the carrier’s possession.
• Delivery Guarantee. At checkout, customers may add our Delivery Guarantee, a merchant-managed protection service (not insurance) for packages that are lost, stolen, or damaged. If purchased, claims can be submitted at claims.templeresearchlabs.com. All claims are subject to review and fraud risk assessment, and Temple Research Labs reserves the right to approve or deny any claim based on fraud risk scores. For claims involving packages marked as delivered but not received, the claimant must provide supporting evidence (e.g., statements from household members, security camera footage, or a police report). Temple Research Labs reserves the right to fulfill any approved claim by issuing the equivalent value in Instant Rewards points in lieu of a physical replacement or monetary reimbursement. If the Delivery Guarantee is declined, you agree to assume all risk for your shipment and acknowledge that Temple Research Labs cannot replace, refund, or credit orders affected by carrier issues.
• Inspection. Inspect all shipments immediately upon delivery. Any visible damage or shortages must be reported within 48 hours along with photos and your order number. If the Delivery Guarantee was purchased, please submit a claim at claims.templeresearchlabs.com for the fastest resolution.
• Locations. We only ship to locations where it is legally permissible to receive our products.
• Delivery Times. Delivery estimates are provided for convenience only. We are not responsible for delays caused by carriers, weather events, operational issues, customs, or any unforeseen circumstances.

The Services may include links or integrations with third-party platforms (e.g., payment processors, analytics). We are not responsible for third-party sites or practices. Review their terms and privacy policies before use.<

You consent to receive communications electronically (email, SMS, or within your account). You agree that all agreements, notices, and receipts we provide electronically satisfy any legal requirements for “written” communications.

Material is provided “AS IS,” “AS AVAILABLE,” and for research use only.To the fullest extent permitted by law, we disclaim all warranties, express, implied, or statutory, including merchantability, fitness for a particular purpose, and noninfringement. You are solely responsible for determining suitability for your intended research.

To the maximum extent permitted by law, in no event will Temple Research Labs be liable for any indirect, incidental, special, consequential, exemplary, enhanced, or punitive damages; loss of profits, revenue, data, or goodwill; or business interruption, arising out of or related to the Services or Material, regardless of theory of liability, even if advised of the possibility of such damages.

Our total aggregate liability for any claim will not exceed the amount you paid to us for the Material giving rise to the claim in the three (3) months preceding the event. Some jurisdictions do not allow certain limitations; in such cases, the limitations apply to the fullest extent permitted by law.

You agree to defend, indemnify, and hold harmless Temple Research Labs, its officers, members, employees, and agents from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your misuse of Material or the Services; (b) your violation of these Terms or applicable law; or (c) your negligence, misconduct, or infringement of third-party rights.

We will not be liable for any delay or failure to perform due to events beyond our reasonable control, including acts of God, labor disputes, shortages, war, terrorism, natural disasters, pandemic, supply-chain disruptions, or carrier failures.

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. You consent to the exclusive jurisdiction and venue of the state and federal courts located in Palm Beach County, Florida for any dispute not otherwise resolved, and you waive objections to personal jurisdiction and forum non conveniens.

We may update these Terms from time to time. Updates are effective when posted to the website with an updated effective date. Your continued use of the Services after changes are posted constitutes acceptance of the changes.

• Assignment. You may not assign or transfer your rights without our prior written consent. We may assign these Terms at any time.
• Entire Agreement. These Terms, together with incorporated policies, are the entire agreement between you and Temple Research Labs and supersede prior understandings.
• Severability. If any provision is found invalid or unenforceable, the remaining provisions will remain in full force and effect.
• No Waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
